1. Acceptance of Terms

By installing, accessing, or using IndexPro for Confluence ("the App") provided by ProProces ApS, you agree to be bound by the terms and conditions of this End User License Agreement (EULA). If you do not agree to these terms, do not use the App.

2. License

The relationship in this End user agreement “EULA“ is between You and ProProces, referred as the licensee and licensor.
The EULA regulates the use of the software developed by ProProces and licensed by Atlassian.
By installing our Software/Product on your Atlassian site, you accept this EULA and is then seen as the end user.
The individual installing the software on behalf of the Atlassian site owner warrant that the person has the power to accept the EULA as the End User.
All rights of any kind, which are not expressly granted by the present EULA, are entirely and exclusively reserved to and by ProProces.
The Software is licensed, not sold. You do not acquire any ownership rights as a result of downloading, installing or using the SOFTWARE.

You are responsible for maintaining the confidentiality of your account and login credentials.
You agree not to use the App for any unlawful or prohibited purposes.
You will comply with all applicable laws and regulations in your use of the App.

Payment is handled directly between you and Atlassian. General payment terms can be found here: "Atlassian Marketplace Terms of Use".
You agree to pay the applicable Fees in directly to Atlassian as required to enable you and your Authorised Users to access and use the Software. Payment of such fees will be in accordance with the applicable "Atlassian Marketplace Terms of Use".

The Software is provided to you on an “AS IS” basis, without warranty of any kind from ProProces including, without limitation, a warranty of merchantability, fitness for a particular purpose and non-infringement. Please refer to the applicable licenses for more details.

You may not:

Modify, reverse engineer, decompile, or disassemble the App.
Distribute, sublicense, or transfer the App to third parties.
Use the App in a manner that violates the rights of others or any applicable laws.

ProProces ApS shall not be liable for any loss of use, lost or inaccurate data, failure of security mechanisms, interruption of business, costs of delay or any indirect, special, incidental, reliance or consequential damages of any kind (including lost profits), regardless of the form of action, whether in contract, tort (including negligence), strict liability or otherwise, even if informed of the possibility of such damages in advance.

ProProces ApS retains all rights, title, and interest in and to the App, including all intellectual property rights.

ProProces has the right to use your name for commercial purposes and/or to include your name and/or logos in clients list or any promotional materials.
You can deny this right at any time by submitting a written request via email to info@proproces.dk, requesting for exclusion from subsequent promotional materials.
ProProces will remove the name and/or logos from existing promotional materials within ProProces best effort.
Requests submitted after purchasing may take thirty calendar days to process

The End User may terminate the EULA and License by any time by uninstalling the software and notifying ProProces.
ProProces may immediately terminate this agreement without any prior notice, and without paying any compensation if you fail to comply with the terms and conditions of this agreement or fail to pay for license accordingly to the "Atlassian Marketplace Terms of Use".
Any refund claims is between Atlassian as the vendor of the software and the end user under the Atlassian marketplace term of use.

This EULA and any use of the Software will be governed by the laws of the Kingdom of Denmark. Any claims arising out of this EULA will be brought in the Kingdom of Denmark and in this regard, all parties will submit to the non exclusive jurisdiction of the Kingdom of Denmark.

All data saved by the plugin is saved within the Atlassian site of the end user.
No data is transferred to 3. party or out the the Atlassian Site by ProProces.
It's the End Users responsibility to not store any sensitive data or personal information in any data solutions provided by the App. If any sensitive data or personal information is stored, it’s the end user’s own responsibility to comply with any law including "General Data Protection Regulation" (EU GDPR).
